Season 1 Registration Terms & Conditions

Registration for Season 1 Flares Conversion / Allocation Eligibility

A. Overview and Agreement

These Season 1 Registration Terms ("Registration Terms") govern your registration for any potential conversion of Season 1 Flares into SLX or other rewards made available by SLX Ltd ("we", "us"). These Registration Terms supplement and form part of the broader Terms and Conditions issued by us (the "Master Terms"). Capitalized terms used but not defined here have the meanings given in the Master Terms.

By registering for the Season 1 Flares allocation process, you agree to these Registration Terms and the Master Terms. If there is any conflict, these Registration Terms govern matters relating to registration for Season 1 Flares allocations.

B. Nature of Registration

Registration is a required administrative step for wallets that wish to be considered for any Season 1 allocation, claim, vesting election, or related distribution process that we may make available.

Registration does not itself constitute a claim, transfer, distribution, promise of distribution, or guarantee of receipt of SLX or any other asset.

Registration only confirms that:

  • you have connected the wallet used for eligible Season 1 activity,
  • you have reviewed the information displayed to you,
  • you accept the applicable terms,
  • and you wish to remain eligible for any allocation or claim process that we may make available.

C. Registration Window

The registration window opens on [Insert Start Date] and remains open until [Insert End Date] for 7 calendar days, unless extended or shortened by us in its sole discretion.

You are solely responsible for completing registration during the applicable registration window. If you do not complete registration within the required 7-day period, your allocation, eligibility, Flares-linked claim rights, and any related reward opportunity may be forfeited in full, with no obligation on us to reopen, restore, or recreate your eligibility.

D. Registration Fee

A registration fee may apply. This fee is intended to cover, among other things:

  • network / gas costs,
  • transaction costs,
  • A registration fee may apply. Any applicable registration fee is strictly limited to covering verifiable third-party network and on-chain transaction gas costs.

If a registration fee is required, it will be shown to you before confirmation.

Failure to successfully authorize and pay the required fee during the registration process may result in incomplete registration, and incomplete registration will be treated as non-registration. If you do not pay the required fee, you may lose your allocation and associated eligibility in full.

All fees are non-refundable except where required by law.

E. Wallet Requirements

You must register using the same Solana wallet used for your eligible Season 1 Campaign activity, unless we expressly permits otherwise.

We may reject, consolidate, suspend, or invalidate registration attempts involving:

  • multiple wallets controlled by the same person,
  • mismatched wallets,
  • suspected Sybil behavior,
  • wallet switching designed to avoid rules or restrictions,
  • or any other conduct we consider abusive, deceptive, or inconsistent with the Campaign rules.
  • You represent and warrant that you are not located in, or a resident of, any Restricted Territory (as defined in the Master Terms).

F. Information Displayed During Registration

During registration, we may display information including, without limitation:

  • your total Flares,
  • your provisional or estimated allocation,
  • your share relative to total Flares or cohort totals,
  • the campaign cohort(s) applicable to your wallet,
  • and the percentage or basis on which an allocation may be calculated.

All such information is provisional unless and until finalised by us.

Any displayed values are estimates only and may be corrected, recalculated, delayed, or changed at any time by us, acting reasonably and in good faith, to reflect:

  • reconciliation,
  • partner data corrections,
  • fraud review,
  • multiplier adjustments,
  • technical fixes,
  • or policy enforcement.

G. No Guarantee of Allocation, Conversion, or Distribution

Registration does not guarantee:

  • that Season 1 Flares will convert into SLX or any other reward,
  • that any TGE or distribution will occur,
  • that your wallet will remain eligible,
  • or that the provisional allocation displayed during registration will become final.

If we elect to make any conversion, claim, vesting, or distribution available, all eligibility criteria, formulas, timing, amounts, and mechanics remain subject to our sole discretion and any additional terms presented at claim.

H. Responsibility to Monitor Official Channels

You are responsible for monitoring our and our affiliates official channels, including its website, GitBook, app interface, and official social channels, for:

  • opening and closing dates,
  • fee notices,
  • registration requirements,
  • and changes to the process.

We is not responsible if you miss the registration deadline, fail to pay the fee, or otherwise fail to complete registration because you did not monitor official communications.

I. Forfeiture

Without limiting any other rights of ours, your allocation, Flares-linked eligibility, and any related claim opportunity may be forfeited if:

  • you fail to register within the required 7-day window,
  • you fail to pay the applicable registration fee,
  • you register with the wrong wallet,
  • you violate campaign rules, or
  • we determine that your participation involved manipulation, fraud, abuse, or ineligibility.

Any forfeited allocation may be cancelled, burned, reallocated, withheld, or otherwise dealt with at our sole discretion.

J. No Liability

We are not responsible for:

  • failed wallet connections,
  • network congestion,
  • gas spikes,
  • incorrect wallet use,
  • failed transactions,
  • front-end outages,
  • third-party service outages,
  • or participant error.

You bear sole responsibility for ensuring successful registration.

K. Governing Terms

These Registration Terms should be read together with:

  • the Master Terms,
  • any claim terms,
  • any vesting terms,
  • and any campaign-specific notices issued by us.

If you do not agree, do not register.


Part B: Claims & Vesting

Claims, Vesting Elections, and Distribution Mechanics

A. Overview and Agreement

These Season 1 Claims Terms ("Claims Terms") govern your claim of any SLX allocation or other distribution made available by us in connection with Season 1 Flares. These Claims Terms supplement and form part of the Master Terms and any applicable Registration Terms.

By clicking "Claim," "Confirm," "Continue," or any similar action in the claims portal, you agree to these Claims Terms, the Master Terms, and any vesting-specific rules shown to you at the time of claim.

B. Nature of Claim

The claims process allows eligible wallets to:

  • review any allocation made available to them,
  • review the claim options made available to them,
  • select between any vesting or unlock options offered to that wallet,
  • and receive SLX, if and when made available by us, to the connected wallet.

Clicking "Claim" constitutes your final and binding instruction to:

  • accept the allocation and claim structure presented to you,
  • accept any vesting conditions associated with the option you choose,
  • and authorize transfer of the relevant SLX amount, if applicable, to your connected wallet in accordance with the claim flow.

Once completed, a claim election may be final and irreversible, except where we determine otherwise.

C. Wallet Requirement

You must claim using the wallet used in your Season 1 participation and registration.

SLX, if distributed, will be sent to the connected wallet used in the claim process.

We are not liable for any loss arising from:

  • using the wrong wallet,
  • compromised wallet access,
  • wallet software issues,
  • unsupported wallets,
  • or participant error.

D. Availability of Claim Options

Not all wallets will receive the same claim options.

Depending on your wallet, allocation category, cohort, policy status, or campaign design, you may be shown one or more of the following:

  • immediate unlock of some or all of your allocation,
  • 3-month vesting,
  • 9-month vesting,
  • or other claim / unlock / vesting combinations determined by us.

The claim interface shown to your wallet is the authoritative source for what is available to you. We do not guarantee that every participant will be offered the same claim structures or vesting choices.

E. Immediate Unlock

If your wallet is offered any immediate unlock amount, and you choose or confirm that option, the relevant portion of SLX will be transferred to your connected wallet upon completion of the claim process, subject to successful execution and any applicable operational or compliance controls.

Immediate unlock amounts, if any, will be shown to you in the claim flow.

F. 3-Month Vesting Option

If your wallet is offered and you select the 3-month vesting option, you agree that your vesting is conditional and subject to ongoing TVL maintenance requirements.

1. TVL Maintenance Requirement

To remain eligible to continue receiving vested SLX under the 3-month vesting option, you must maintain the required minimum level of eligible TVL during the vesting period. This is based on direct TVL contributions, not any fluctuations based on trading volatility. To understand your "eligible TVL" visit (app.solstice.finance/earn-flares) and view your "snap shot" TVL.

For these purposes, "eligible TVL" means capital deployed in wallet activities and positions that we designate as eligible for Flares-related TVL recognition, which may include, without limitation:

  • USX holdings,
  • eUSX holdings,
  • YieldVault positions,
  • eligible partner protocol positions,
  • eligible LP positions,
  • and such other categories as we may designate.

2. Buffer

A 10% buffer applies to your required minimum TVL threshold.

3. Warning and Cure Period

If your eligible TVL falls below the applicable threshold or below the threshold after accounting for the buffer:

  • you may receive a 24-hour warning,
  • and you may have up to 72 hours to restore eligible TVL to the required level.

We will use reasonable best efforts to display warnings, grace-period countdowns, or status indicators.

Failure of any interface, API, alert, or notice system does not excuse non-compliance.

4. Pause and Forfeiture

If you do not restore the required TVL within the applicable cure period:

  • vesting may be paused,
  • future daily unlocks may stop,
  • and some or all remaining unvested allocation may be forfeited.

For avoidance of doubt, failure to maintain required TVL under the 3-month vesting option may result in the loss of all remaining unvested allocation associated with that vesting option.

Any forfeited amount may be cancelled, withheld, burned, or otherwise dealt with by us in our sole discretion.

5. No Restoration Right

We will make reasonable efforts to review disputes. All determinations regarding forfeited allocations are final and at our sole discretion. Unless we expressly allow otherwise, once unvested allocation is forfeited, it is not automatically reinstated even if TVL is later restored.

G. 9-Month Vesting Option

If your wallet is offered and you select the 9-month vesting option, the relevant vested amount will unlock over the 9-month schedule shown in the claim interface.

Unless expressly stated otherwise in the claim flow shown to your wallet, the 9-month vesting option does not require compliance with the 3-month TVL maintenance mechanism described above.

The claim interface shown to your wallet governs the exact vesting treatment applicable to that wallet.

H. Daily Unlocks and Delivery

Where vesting applies, unlocks may occur on a daily basis or on such other cadence as displayed in the claim interface.

We may delay, pause, or batch unlocks because of:

  • operational issues,
  • smart contract controls,
  • compliance reviews,
  • fraud checks,
  • technical failures,
  • or third-party dependencies.

Displayed vesting dates are indicative unless confirmed by final execution.

I. Default Treatment if No Claim Is Made

If you do not complete your claim within the claims window, we will apply a default treatment, including but not limited to:

  • defaulting your allocation to 9-month vesting,
  • withholding immediate unlocks,
  • cancelling optional accelerated vesting,
  • or requiring additional verification.

The default treatment announced by us at the time of claims will apply.

J. Claims Deadline

Claims must be completed during the claim window opening on [Insert Start Date] and closing on [Insert End Date] announced by us.

If you do not claim within the announced deadline:

  • you may lose access to certain options,
  • your claim may default to a different vesting treatment,
  • or your allocation may be forfeited, to the extent permitted by the rules announced by us.

K. Estimates, Errors, and Recalculations

Any allocation figures, vesting views, unlock schedules, or cohort information shown in the claims portal are subject to correction.

Solstice may, acting reasonably and in good faith:

  • recalculate allocations,
  • adjust vesting amounts,
  • suspend claims,
  • reverse erroneous distributions where permitted,
  • or amend wallet eligibility, to address fraud, error, reconciliation issues, partner data revisions, or policy enforcement.

L. Participant Risk and Responsibility

You are solely responsible for:

  • selecting the option you prefer,
  • understanding the vesting conditions attached to that option,
  • maintaining any required TVL if you select an accelerated vesting path,
  • and ensuring that your connected wallet remains under your control.

You should not select an accelerated vesting option unless you are willing and able to maintain the required eligible TVL for the full applicable period.

M. No Liability

We are not liable for:

  • participant misunderstanding of vesting choices,
  • losses arising from selection of a vesting option,
  • loss of unvested allocation due to failure to maintain required TVL,
  • failure of front-end notices or warning systems,
  • or wallet, smart contract, network, or partner-related failures.
